Management and directors

Dean has been involved in senior technical and corporate positions across the mining sector for over 33 years with a particular focus on potash exploration and development for over 17 years of that time. In particular, Dean was Executive Vice President of Western Potash Corp. (WPX- TSX) from 2008 – 2015 and lead discovery and development of the Milestone Potash Solution Mining Project in Saskatchewan which is currently 80% complete. Since 2016 Dean has been involved with Peak Minerals Inc., a private Company developing the Sevier Playa Potassium Sulphate (SOP) Brine Project in Utah where he has served as Project Director and CEO, President & Director since 2020.

Dean is intimate with all aspects of potash exploration, solution mining, brine evaporation, and processing of potassium, magnesium, sodium chloride, bromine, and lithium, rich brines. During his career at Western potash and Peak Minerals he and has advanced Projects through key Project Milestones including discovery, engineering studies (PEA, PFS, FS, FEED), geotechnical and constructability testing, process pilot testing, successful environmental permitting at all government levels, securing key supply and construction contracts and off-take agreements, and financing. Throughout his career Dean has raised more than US$120m capital at appropriate valuations to enable the company’s he has worked for to meet milestones, growth and market share. He has a deep network with a number of equity, debt, and royalty investors, is well connected with peer / industry companies across Utah and beyond and has good connections into local and federal government funding initiatives and State and Federal Regulators. He is also intimate with global potash supply, demand, pricing, and development projects globally.

Dean holds Honors B.Sc. Geology, University of Western Ontario, London, Ontario,1994, is a PDAC Member and has his P.Geo Registration with the Association of Professional Engineers and Geoscientists of Saskatchewan. He is also a Director of Fidelity Minerals Corp. and Power One Resources Corp.

Mr. Clarke brings close to 30 years’ experience building companies and implementing successful capital markets and growth strategies focused on mining, energy, and energy technology. Mr. Clarke was, until recently, CEO and a director of American Lithium Corp., a leading lithium and uranium development company trading on the TSXV and NASDAQ. During his 4 years with the Company, Mr. Clarke helped grow American Lithium to its position of being one of the largest lithium development companies globally with 2 advanced stage, large scale lithium projects and a market valuation of approx. $1.2 billion at the height of the recent lithium cycle. It also has the largest uranium asset in South America which is also one of the largest development stage uranium projects globally and its hard rock Falchani Lithium Project has a number of important by-products, including Sulfate of Potash (“SOP”) which is strategically important for food security and the Agriculture Sector in Peru.

Mr. Clarke was also a co-founder, CEO, and director of M2 Cobalt Corp., which explored for cobalt and copper in East Africa. M2 Cobalt was acquired by Jervois Global in June 2019 and as part of the transaction terms, Mr. Clarke joined Jervois as a Director and then as part of Senior Management for a 12-month term. He was also a co-founder, executive, and director of Osum Oil Sands Corp., a Calgary-based oil sands company which grew through exploration and development into production and was producing in excess of 20,000 barrels of oil per day when it was acquired by Waterous Energy Fund for approx. $400 million in April 2021. Mr. Clarke is currently a Director of Myriad Uranium Corp. and holds an LLB and Diploma in Legal Practice from Aberdeen University, Scotland.

Mr. Besserer has more than two decades of mineral exploration experience working in over 50 countries, including across much of North America and often leading projects with annual exploration budgets exceeding US$20 million. Mr. Besserer was previously Vice-President and Partner at APEX Geoscience Ltd., a consulting firm with offices in Canada, South America and Australia. In addition, Mr. Besserer previously served as a director of Brilliant Mining, Niblack Resources, Sentosa Mining and as the VP Exploration for various junior mining companies. He is a Professional Geologist and a “Qualified Person” as defined in National Instrument 43-101 – Standards of Disclosure for Mineral Projects (“NI 43-101”).

Mr. Healey brings over 20+ years of extensive experience as a finance and management professional. Prior to his current role as CEO of a TSXV listed company, Mr. Healey dedicated 16 years of his career to Equity Research as a Mining and Special Situations Analyst at Haywood Securities, covering uranium, lithium, other commodities and a diverse range of non-resource companies. Throughout his tenure, he consistently earned high rankings in the Bloomberg Portfolio BARR Ranking, and securing the top position for uranium equities on a 3-year basis.

Before his time at Haywood, Mr. Healey served as an analyst at a major Canadian bank, where he specialized in structuring debt financing across diverse industries. Additionally, he spent 8 years as a Quality Manager at an ISO 17025 accredited laboratory which performed extensive assay and analysis work for major mining and precious metals refining companies, as well as conducting R&D support programs for a wide array of industries. Mr. Healey holds an MBA degree from the Schulich School of Business at York University, majoring in finance and investments, as well as a Bachelor of Commerce degree from Toronto Metropolitan University and a technical diploma in Mechanical Engineering from Humber College.

Eric Miller is President of Rideau Potomac Strategy Group, a consultancy that advises public and private sector clients globally on economic and regulatory policies, sustainability, government affairs, business strategy, and geo-political matters. He has spent more than two decades at the intersection of government and business processes in the United States and Canada as well as countries in Asia and Latin America. He has advised, negotiated with, and executed projects with over 40 governments worldwide and has been a consultant to multilateral institutions and to leading global companies in an array of sectors ranging from mining, agri-food, energy, automotive, tech/innovation, and carbon markets. He has advised a variety of mining companies in the critical minerals area on government affairs, regulatory affairs, and strategy. He also recently advised a government in Southeast Asia on introducing internationally recognized sustainability standards for their mining and processing sectors.

Mr Miller served as the first representative of Canada’s Department of Industry (ISED) in the United States. He is a Global Fellow at the Woodrow Wilson Center in Washington, a Fellow with the Canadian Global Affairs Institute, and a Fellow with the Canadian Chamber of Commerce’s Future of Business Centre.

Steve Vanry has 25 years of professional experience in senior management and director positions with public and private companies, providing expertise in capital markets, strategic planning, regulatory compliance and accounting and financial reporting. His breadth of experience spans various industries, with a key focus on mining, oil and gas, renewable energy and energy technology. Mr. Vanry holds the right to use the Chartered Finance Analyst (CFA) and Canadian Investment Manager (CIM) designations and is a member of the CFA Institute and the Vancouver Society of Financial Analysts.

Lawrence Cheung is a Controller at Malaspina Consultants Inc., where he provides CFO and controllership services to help clients navigate financial reporting and regulatory requirements. He works with a diverse client base across multiple jurisdictions, with a focus on the mining and technology sectors.

Prior to joining Malaspina in 2021, Lawrence was a Senior Associate at PwC, providing assurance services to private and publicly listed companies in both the U.S. and Canada. He has extensive experience with IFRS, ASPE, and U.S. GAAP.

Lawrence holds a Bachelor of Commerce in Accounting from the UBC Sauder School of Business and is a designated Chartered Professional Accountant (CPA).
